Contributor License Agreement (CLA)

Effective Date: 2024-09-06

Thank you for your interest in contributing to MTracks. Before your contribution can be accepted, you must agree to the terms below. This agreement ensures that Gerjan Gort (the "Project Owner") owns and can freely use and manage all contributions to the project.

1. Definitions

  • "Contribution" refers to any code, documentation, patches, updates, or other materials submitted by you to this project.
  • "Project" refers to MTracks.
  • "You" means the individual submitting the Contribution, whether as an individual or on behalf of an entity.

2. Assignment of Rights

By submitting a Contribution to the Project, you agree to the following:

  1. Assignment of Ownership: You assign and transfer to Gerjan Gort all rights, title, and interest in and to your Contribution, including but not limited to copyrights, patent rights, trade secrets, moral rights, and any other intellectual property rights. As a result, Gerjan Gort will have the sole and exclusive ownership of the Contribution and may use, modify, distribute, or sublicense the Contribution in any way.

  2. Waiver of Rights: You waive any claims to ownership, including any attribution, rights to review or approve uses of your Contribution, or any compensation for the use of your Contribution.

3. License of the Project

You understand and agree that:

  1. Initial License: The Project is currently licensed under the Apache License 2.0, as outlined in the repository's LICENSE file.

  2. Change of License: The Project Owner may, at any time, change the license under which the Project is distributed. By contributing, you agree that your Contribution will continue to be governed by any new license that may be adopted by the Project Owner.

4. Your Warranties

You represent and warrant that:

  1. Original Work: Your Contribution is your original work, and you have the full right and authority to make the assignment of rights set forth in this Agreement.

  2. No Conflicts: Your Contribution does not violate any agreements, laws, or the rights of any third party.

  3. Right to Assign: You have obtained all necessary licenses or permissions from any third parties whose work is included in your Contribution, allowing you to assign all rights to the Project Owner.

5. Governing Law

This Agreement is governed by the laws of the Netherlands, and any disputes arising from this Agreement will be resolved in the courts of the Netherlands.

By submitting a contribution, you agree to the terms and conditions set forth in this Contributor License Agreement.
